    Greetings, I'm Sophie Yan Song, CPA. I was appointed as audit committee member in Cupertino for three years. I resigned to run for State Assembly in November 2023.

     

    Following the Enron scandal, Congress introduced the Sarbanes-Oxley Act to ensure that public companies maintain robust internal controls for accurate financial reporting. However, I was surprised to discover a lack of such controls in California cities, hindering transparency in their financial statements.

    How Enron bankkrupt and Why revenue can disappeared and nobody in the public knew about it?

    It is a closed loop when the City manager, City Finance and HR have the power to hire auditors to audit the city accordign to the municipal code drafted by City Planner. this is called lack of entity level control. The Audit Committee should be funded and hire auditor to audit the city.

    When Municipal Code of the City is written by city staff and City attorney so that no one City Official can investigate City's financial transactions, this is called Conflict of Interest.

    When public members, city council members and Audit Committee members were not informed or advised of the liabilities of the agreement signed, and were not advised of the nature of the transaction, never heard of the actual payments made, significant transactions were never reported in the treasurer's report, these transactions are called Unauthorized Transactions.

    When Fraud Hotlines were directed to City Manager, City attorney and auditors hired by the City Manager, fraud will not be investigated. this is called lack of Segregation of Duties.
